Acceptance of Terms

By accessing and using the Rodgers Labs website and services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

Description of Service

Rodgers Labs provides technology consulting, web development, mobile application development, cloud computing solutions, e-commerce development, and digital marketing services. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time.

Use License

Permission is granted to temporarily download one copy of the materials on Rodgers Labs' website for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

• Modify or copy the materials
• Use the materials for any commercial purpose or for any public display
• Attempt to reverse engineer any software contained on the website
• Remove any copyright or other proprietary notations from the materials

Client Responsibilities

As a client of Rodgers Labs, you agree to:

• Provide accurate and complete information necessary for project completion
• Respond to requests for feedback and approval in a timely manner
• Make payments according to agreed-upon terms and schedules
• Respect intellectual property rights of third parties
• Not use our services for any illegal or unauthorized purpose

Payment Terms

Payment terms will be specified in individual project agreements. Generally:

• Invoices are due within 30 days of receipt unless otherwise specified
• Late payments may incur additional fees
• Projects may be suspended for non-payment
• All prices are in Canadian dollars unless otherwise specified

Intellectual Property

Upon full payment for services, clients will own the intellectual property rights to custom work created specifically for them. However:

• Rodgers Labs retains rights to general methodologies, techniques, and know-how
• Third-party components and libraries remain under their respective licenses
• Rodgers Labs may use project experiences as case studies (with client approval)

Limitation of Liability

In no event shall Rodgers Labs or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on our website or services, even if Rodgers Labs or an authorized representative has been notified orally or in writing of the possibility of such damage.

Confidentiality

We respect the confidentiality of our clients' information and agree to maintain the confidentiality of any proprietary information shared with us during the course of our business relationship.

Governing Law

These terms and conditions are governed by and construed in accordance with the laws of Ontario, Canada, and you irrevocably submit to the exclusive jurisdiction of the courts in that province.

Changes to Terms

Rodgers Labs may revise these terms of service at any time without notice. By using this website and our services, you are agreeing to be bound by the then current version of these terms of service.
